Terms of Service

Agreement
These Terms of Service ("Terms") govern your access to and use of Concord Intelligence, Inc.'s websites, applications, and related services (collectively, the "Services") offered by Concord Intelligence, Inc., a Delaware corporation doing business as Concord ("Concord," "we," "us"). By creating an account, using the Services, or clicking to accept these Terms where presented, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
The Services
Concord provides software and content to help organizations run AI chats, captured workspace knowledge, playbooks, and related workflows. Features and availability may change over time. We may add, modify, or discontinue functionality with reasonable notice where practicable.
Beta services
Some features may be identified as beta, preview, early access, or similar labels. These features are provided as-is, may change quickly, and may be discontinued without notice. Unless a separate signed order form states otherwise, we do not provide service-level commitments for beta features.
Accounts and workspaces
You are responsible for maintaining the confidentiality of your credentials and for activity under your account. If you use Concord on behalf of a company or other entity, you represent that you have authority to bind that entity. Workspace administrators may control access, configuration, and data visibility according to product settings.
Acceptable use
You agree not to:
- Use the Services in violation of law or third-party rights, or to harm individuals or organizations.
- Attempt to probe, scan, or test the vulnerability of the Services, or breach security or authentication measures.
- Reverse engineer, decompile, or disassemble the Services except where applicable law prohibits this restriction.
- Use the Services to build a competing product or to train general machine learning models on Concord's proprietary materials without permission.
- Upload unlawful content, malware, or material you do not have rights to use.
Customer content
You retain ownership of content and data you submit to the Services ("Customer Content"). You grant Concord a non-exclusive, worldwide license to host, process, and display Customer Content only as needed to provide and improve the Services, secure our systems, and comply with law. You are responsible for the accuracy and legality of Customer Content.
Intellectual property
Concord and its licensors own the Services, including software, text, graphics, and branding, subject to the rights granted to you in these Terms. No rights are granted except as expressly stated.
Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Concord disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Concord does not warrant that outputs from AI-related features will be accurate or suitable for any specific decision; human judgment remains your responsibility.
Limitation of liability
To the fullest extent permitted by law, Concord and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Concord aggregate liability for claims arising out of or related to the Services will not exceed the greater of one hundred U.S. dollars (US$100) or the amounts you paid Concord for the Services in the twelve (12) months before the claim, unless a different cap is set forth in a separate signed agreement.
Indemnification
You will defend, indemnify, and hold harmless Concord and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your Customer Content, or your violation of these Terms. We will defend and indemnify you from third-party claims that the Services infringe such third party's U.S. intellectual property rights, except to the extent the claim arises from Customer Content, your modifications, your combinations with non-Concord products, or use of the Services in violation of these Terms.
Termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms or if we must do so to comply with law or protect the Services. Provisions that by their nature should survive will survive termination.
Changes
We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. If changes are material, we will provide additional notice as appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties agree to exclusive jurisdiction and venue in the state and federal courts located in New Castle County, Delaware, and each party waives any objection to those courts on personal jurisdiction or venue grounds.
Miscellaneous
If any provision of these Terms is unenforceable, the remaining provisions will remain in full force. A party's failure to enforce any provision is not a waiver. These Terms, together with any applicable order form, are the entire agreement between you and Concord. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Notices to Concord under these Terms must be sent to hello@cncrd.ai.
